This Agreement is between You, the purchaser of the products or services on this web site (“You” and “Your”) and Mastering Minds Inc. (the “Company”). “We” and “Us” means both You and the Company. The effective date of this Agreement is when You accept this Agreement by selecting or causing to be selected the on-line [SUBMIT] submission button committing to the purchase of our products and services. The entire contents of this document, including this paragraph and Sections 1 to 13, inclusive, form the Terms and Conditions of this Agreement.
1. ACCEPTANCE AND JURISDICTION
Important! Your purchase of goods or services on this web site is subject to legally binding terms and conditions. Carefully read all of the applicable terms and conditions as set out below. By submitting a purchase through this website, you agree to accept these terms and conditions. That action is the equivalent of your signature and indicates your acceptance of the terms and conditions and that you intend to be legally bound by them. If there is an error in the terms and conditions or if you do not agree with them, please click on the “back” button of your browser to make a correction.
Bookings are accepted at the discretion of Mastering Minds Inc.
The Company reserves the right at its discretion to change the terms of this agreement and will notify users of any such changes by postings on the Company’s website.
You hereby consent to the exchange of information and documents between Us electronically over the Internet or by e-mail and that this Agreement in electronic form shall be the equivalent of an original written paper agreement between Us.
The Company, this web site and its server are physically located within the Province of Ontario, Canada. This Agreement will be governed by the laws of the Province of Ontario, and the federal laws of Canada and shall be treated in all respects as an Ontario contract, without reference to the principles of conflicts of law. In the event of a dispute, We agree to submit to the non-exclusive jurisdiction of the courts in the Province of Ontario. We expressly exclude the UN Convention on Contracts for the International Sale of Goods, replaced or re-enacted from time to time.
2. LIMITATION OF LIABILITY AND DISCLAIMER
Except as expressly provided in this agreement, the Company does not make or give any representation, warranty or condition of any kind, whether express or implied, statutory or otherwise, including without limitation, warranties as to uninterrupted or error free transactions, privacy, security, merchantability, quality, title, non-infringement or fitness for a particular purpose, or those arising out of a course of dealing or usage of trade.
You agree to indemnify, hold harmless, protect and defend the Company its successors or assigns, or agents related to the production of the products and services, against all suits and from all claims, demands, judgments, costs, and legal fees for actual alleged infringement of copyrights, trademarks and Letters Patent, in connection with any of the products or services supplied hereunder.
In no event will the Company be liable for any indirect, incidental or consequential damages, howsoever caused, including but not limited to, any lost profits, lost savings, loss of use or lack of availability of facilities including computer resources, routers and stored data, punitive, exemplary, aggravated or economic damages, arising out of the products or services provided by the Company or otherwise related to this agreement, even if the company or any of their lawful agents, contractors, or employees have been advised of the possibility of such damages or claim. In no case will the Company’s total liability arising under any cause whatsoever (including without limitation breach of contract, negligence, gross negligence, or otherwise) be for more than the amount paid by You under this agreement for the specific product or service to which the claim relates. In no event will the Company be liable to you for damages or losses resulting from viruses, data corruption, failed messages, damages arising as a result of: transmission errors or problems, telecommunications service providers, the Company’s contractors, third-party supplier of products or services, damages or losses caused by You, or your respective employees, agents or subcontractors, or other events beyond the control of the Company.
For the purposes of this section, the “Company” shall include the Company’s affiliates and, the Company’s and its affiliates’ respective directors, officers, employees, agents and contractors.
This section shall survive the termination or expiry of this agreement.
3. PAYMENT
Payment shall be made in full at the time order is placed via the methods available on the Company’s website.
4. PRICES
All prices listed are in Canadian dollars and are subject to change at the sole discretion of the Company. Prices listed do not include any applicable taxes or freight unless expressly stated otherwise.
5. PUBLICITY
You acknowledge that Mastering Minds Inc. may use for publicity purposes and without prior notification any photograph or video taken of the attendee at the program location, and any statement (whether written or oral) made by you.
6. MEDICAL AND BEHAVIOURAL
Any medical or behavioral problems of the attendee known to you must be notified to Mastering Minds Inc. in writing upon registration, and in any event prior to the commencement of the program. Mastering Mind Inc. reserve the right not to accept your booking on the grounds that any such medical or behavioral problems are not conducive to the operation of a program.
In the event that the attendee becomes ill or incapacitated during the program, you agree to medical treatment being given to the attendee if required in accordance with the recommendations of a qualified medical practitioner, including the administration of a general anesthetic and to surgical operations in case of emergency. Permission is also granted for routine medical care for the attendee by Mastering Minds Inc. personnel of any prescribed medication which the attendee brings to the program or the use of over the counter medication when needed.
If the attendee becomes ill or comes into contact with any contagious or infectious disease during the 21 days prior to the commencement of the program, you must immediately notify Mastering Minds Inc. in writing and provide a medical certificate from the attendee’s doctor giving approval for the attendee to participate in the program.
It is your and the attendee’s responsibility to help Mastering Minds Inc. prevent the spread of infectious diseases.
On request, you will provide a doctor’s letter stating a attendee’s suitability to participate in our programs.
It is your responsibility to tell Mastering Minds Inc. prior to a program of any issue or condition that may affect their stay at the program facility. These include but are not limited to ADHD, SEN, medical, languages, allergies, disability, diet, behavioural/ social issues, child’s history.
You agree to hold Mastering Minds Inc. harmless for any damages or injuries sustained during any activities in the programs. In case of any accident, Mastering Minds Inc. has your authorization to secure, at your expense, any required medical attention.
7. COURSE CHANGES
The Company reserves the right to discontinue programs, change the curriculum, class sizes, class schedules, locations, pricing, or instructors at any time without notice and without incurring liability.
8. CANCELLATIONS
All sales are final and any submitted order cannot be cancelled without the express authorization of the Company.
9. REFUNDS AND TRANSFER POLICY
Refunds, less a cancellation fee of 20% of the registration fee, will be given up to 14 days prior to the course start date. No refunds will be processed after this date without the express authorization of the Company. There are no discounts for days not attended. Refunds are credited to the same credit or debit account used for payment. Cash refunds over 20 dollars are made by cheque. Cheque refunds require 4-6 weeks for processing and will be mailed to the address on file.

10. DROP OFF AND PICK-UP
You must make prior arrangements with Mastering Minds Inc. in the event the attendee will need to be dropped off early prior to a program or must be picked up late. Mastering Minds Inc. reserves the right to enforce a $1/minute for a late pick-up when making arrangements. All attendees must be signed in and out by a parent with active custody, guardian, or a designated person each day.
